These terms apply to the AI Build Partner. They replace the Maintenance Terms and Conditions for this service.
- Definitions
- “Plan” means an AI Build Partner plan (Build Partner 8 or Build Partner 16) as described on the Code Squirrel website and in your proposal.
- “Business hours” means 8:00am to 5:00pm, Monday to Friday, Queensland time (AEST), excluding Queensland and national public holidays.
- “Covered application” means the single application recorded at onboarding, including its front end and back end, the user roles and the integrations listed at that time.
- “Review” means a scheduled engineering review of the covered application, as described in clause 3.
- Payment & Pricing
- Plan invoices are issued monthly, payable in advance and due within 7 days of receipt.
- All prices are exclusive of GST.
- Code Squirrel reserves the right to hold work or suspend services where payments are overdue.
- Pricing and these terms are subject to change. Prior notice will be provided via email
- Hour Allocations
- Time is recorded in 30-minute increments.
- Development hours are available for fixes, improvements, new features, bug resolution and support requests on the covered application, subject to the New Features and Projects clause.
- Unused hours do not roll over and expire at the end of each billing month.
- Included hours are during business hours only. Work performed on public holidays is charged at the applicable public holiday rate.
- Out-of-Plan and After-Hours Work
- Work outside the plan’s inclusions, or beyond the monthly hours, is quoted or charged at Code Squirrel’s standard rates as set out in your proposal, and only with the client’s prior approval.
- After-hours work (for example, a weekend release) is available by arrangement, at the rates set out in your proposal, and must be agreed in writing before work begins.
- AI App Launch Audit
- The AI App Launch Audit is a separate product. Audit fees are not credited against any plan.
- Cancellation
- Plans are month-to-month. Either party may cancel with 30 days’ written notice, taking effect from the date notice is given.
- Plan Changes
- The client may upgrade or downgrade between plans with 30 days’ notice. Changes take effect at the start of the next billing month.
- Application Coverage
- A plan covers a single application only, including its front end and back end. A plan cannot be split across multiple applications.
- Work on parts of the application outside the covered application as recorded at onboarding (for example, new user roles or integrations added later) may be reviewed and the covered application updated by agreement, or treated as out-of-plan work.
- Penetration Testing and Compliance
- Reviews check against the OWASP Top 10 and the Australian Privacy Principles. They are not a penetration test, a security certification or legal advice.
- Code Squirrel recommends that penetration testing be conducted by an independent, qualified third party, and can coordinate with that provider. Coordination time and remediation of findings may draw from available hours or be charged as out-of-plan work.
- Client Responsibilities
- The client must provide timely access to the systems, repositories, credentials and environments needed for the work. Delays caused by the client do not count against delivery times.
- The client is responsible for a designated point of contact who can approve work and provide direction.
- The client may continue developing the application, including with AI coding tools. Code Squirrel is not responsible for changes made by the client or third parties between reviews.
- Backups & Data
- Code Squirrel will take reasonable care when working on the application, but the client is responsible for maintaining their own backups. Code Squirrel is not liable for data loss resulting from work carried out under the plan.
- Third-Party Services
- Code Squirrel is not responsible for outages, degraded performance or issues caused by third-party platforms, AI coding tools, APIs, hosting providers or app stores outside our control.
- Third-party costs (including hosting, app store fees, AI and API usage, and licences) are the client’s responsibility.
- Limitation of Liability
- Code Squirrel’s total liability in connection with a plan is limited to the fees paid in the relevant billing period.
- Code Squirrel excludes liability for any indirect, consequential, incidental or special losses, including loss of revenue, profits, data or business opportunity, whether arising in contract, tort or otherwise.
- Nothing in these terms limits liability that cannot be excluded under the Australian Consumer Law.
- Fair Use
- Plans are intended for ongoing review and upkeep of the covered application. If reviews of the covered application consistently require more time than the plan allows, Code Squirrel may recommend a different arrangement, such as a Managed Developer Placement or a scoped project.
- New Features and Projects
- Plans do not cover new features of significant scope or new builds. Where a request constitutes a new project in Code Squirrel’s assessment, it will be scoped and quoted separately.
- Force Majeure
- Code Squirrel is not liable for delays or failures caused by circumstances beyond our reasonable control.
